3. Your Use of the Services

You represent and warrant that you own all rights to your Content or have obtained all necessary permissions and licenses to submit, upload, or post it to the Services. You agree not to submit, upload, or post any Content that is illegal, obscene, defamatory, threatening, invasive of privacy, or infringes on any intellectual property rights.

4. User Content

GREP does not claim any ownership rights in your Content. However, you grant GREP a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, publish, distribute, and display your Content in connection with the Services. You understand and agree that the Services may include content from other users, and that such content may be inaccurate, offensive, or harmful. GREP is not responsible for the content of any other user.

5. Termination

GREP may terminate your access to the Services at any time, for any reason, or for no reason. GREP may also remove any Content from the Services at any time, for any reason.

6. Disclaimer of Warranties

The services are provided “as is” and without any warranties of any kind, express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Grep does not warrant that the services will be uninterrupted or error-free, or that defects will be corrected.

7. Limitation of Liability

Grep shall not be liable for any damages arising out of or in connection with your use of the services, including, but not limited to, direct, indirect, incidental, consequential, and punitive damages.

8. Indemnification

You agree to indemnify and hold GREP harmless from and against any and all claims, damages, losses, liabilities, costs, and expenses (including attorneys’ fees) arising out of or in connection with your use of the Services or your violation of these Terms.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws provisions.

10. Entire Agreement

These Terms constitute the entire agreement between you and GREP with respect to your use of the Services.
